Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Aodholdings LTD ("Company", "we", "us", or "our"), a company registered in England and Wales, governing your access to and use of the ReportingFlow platform and services ("Service").
By creating an account, subscribing to a plan, or otherwise using ReportingFlow, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using ReportingFlow on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use ReportingFlow.
2. The Service
ReportingFlow is a software-as-a-service (SaaS) platform that connects to your advertising platform accounts (starting with Meta Ads), retrieves performance data, generates AI-assisted narrative reports, converts them to PDF format, and delivers them to specified email recipients on your behalf.
The Service is intended for use by marketing agencies, freelancers, and businesses managing advertising accounts on behalf of clients. You are responsible for ensuring you have the necessary authorisation from any third-party clients whose data you process through ReportingFlow.
2.1 Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice where possible. We will not be liable for downtime outside our reasonable control.
2.2 Changes to the Service
We reserve the right to modify, update, or discontinue features of the Service at any time. Where changes are material, we will provide reasonable advance notice. Continued use of the Service after notice of changes constitutes acceptance of those changes.
3. Your Account
To use ReportingFlow, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access at support@reportingflow.io
You must not share your account credentials with others or create accounts on behalf of third parties without their consent. We reserve the right to suspend or terminate accounts that we reasonably believe are being misused.
4. Subscriptions and Payment
4.1 Subscription Plans
ReportingFlow is offered on the following monthly subscription plans (prices in GBP):
- Starter: £ 39.99 per month
- Pro: £ 79.99 per month
- Max: £ 99.99 per month
Plan features and limits for each tier are described on our pricing page at reportingflow.io/pricing. We reserve the right to change plan features and limits with 30 days' advance notice to existing subscribers.
4.2 Billing
Subscriptions are billed monthly in advance on the date you first subscribe (your "Billing Date"). Payments are processed by Stripe, Inc. By subscribing, you authorise us to charge your chosen payment method on each Billing Date until you cancel.
All prices are exclusive of applicable taxes. If you are located in the UK or EU, VAT may be added at the applicable rate. You are responsible for any taxes applicable in your jurisdiction.
4.3 Failed Payments
If a payment fails, we will attempt to retry the charge. If payment remains outstanding after 7 days, your account may be downgraded or suspended until payment is received. We will notify you by email before taking any action.
4.4 Refunds
Subscription fees are non-refundable except as required by applicable law. If you are a consumer in the UK or EU, you may have a statutory right to cancel within 14 days of subscribing ("cooling-off period"), provided you have not yet used the Service. To exercise this right, contact us at support@reportingflow.io within 14 days of your first payment. If you have used the Service during this period, we may charge a pro-rata amount for use to date.
4.5 Cancellation
You may cancel your subscription at any time from your account settings or by contacting support@reportingflow.io. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. We do not provide refunds for unused time within a billing period.
4.6 Price Changes
We may change subscription prices with 30 days' advance notice to existing subscribers. If you do not cancel before the new price takes effect, you will be charged at the new rate on your next Billing Date.
5. Acceptable Use
You agree to use ReportingFlow only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to process data you are not authorised to access
- Attempt to gain unauthorised access to any part of the Service or our systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to transmit malware, viruses, or harmful code
- Impersonate any person or entity or misrepresent your affiliation
- Use automated tools to access the Service in a manner that damages, disables, or overburdens it
- Violate any applicable law or regulation, including data protection laws
- Use the Service to infringe the intellectual property rights of any third party
We reserve the right to investigate and take appropriate action against any violation of these terms, including suspending or terminating your account and reporting to relevant authorities.
6. Third-Party Platform Connections
ReportingFlow connects to third-party advertising platforms (including Meta Platforms, Inc.) via their published APIs. By connecting a third-party account, you:
- Confirm that you have the legal right and any necessary authorisation to access and share that account's data with ReportingFlow
- Authorise ReportingFlow to access, retrieve, and process data from that account on your behalf
- Accept that your use of third-party platforms is also governed by their own terms of service and privacy policies
- Acknowledge that ReportingFlow is not affiliated with, endorsed by, or sponsored by any third-party platform
We are not responsible for the availability, accuracy, or reliability of data provided by third-party platforms. Changes to third-party APIs may affect the Service and we will endeavour to address these promptly but cannot guarantee uninterrupted access to third-party data.
7. Data and Privacy
7.1 Your Data
You retain ownership of all data you bring into ReportingFlow, including advertising performance data retrieved from connected platforms. By using the Service, you grant us a limited licence to process this data for the sole purpose of providing the Service to you.
7.2 Data Processing
Where we process personal data on your behalf (for example, if your advertising data includes demographic information or contact details of your clients), you are the data controller and we act as your data processor. Our data processing activities are governed by our Privacy Policy and, for business customers, may be supplemented by a Data Processing Agreement (DPA) available on request at privacy@reportingflow.io.
7.3 Your Clients' Data
If you use ReportingFlow to process data relating to your own clients, you are responsible for ensuring you have a lawful basis to do so and that your clients have been informed appropriately. You must not upload or connect data that you do not have the right to process.
7.4 Privacy Policy
Our collection and use of personal data is described in our Privacy Policy, available at reportingflow.io/privacy, which forms part of these Terms.
8. AI-Generated Report Content
ReportingFlow uses artificial intelligence to generate narrative commentary included in client reports. You acknowledge and agree that:
- AI-generated content is produced automatically and may contain inaccuracies or errors
- You are responsible for reviewing AI-generated commentary before sharing it with your clients
- ReportingFlow makes no warranty that AI-generated content is accurate, complete, or suitable for your specific purposes
- We are not liable for any decisions made by you or your clients based on AI-generated report content
You retain responsibility for all reports generated using your account and delivered to your clients.
9. Intellectual Property
9.1 Our IP
ReportingFlow, including its software, design, branding, documentation, and all content we create, is owned by Aodholdings LTD and protected by intellectual property laws. These Terms do not transfer any ownership rights to you. You receive only the limited right to use the Service as described herein.
9.2 Your IP
You retain all intellectual property rights in data, content, and materials you provide to ReportingFlow. You grant us only the rights necessary to provide the Service.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback in any way we see fit, without obligation to you.
10. Confidentiality
Each party agrees to keep the other's confidential information (including technical, commercial, and client data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law or to sub-processors bound by equivalent obligations.
This obligation survives termination of these Terms for a period of 3 years.
11. Warranties and Disclaimers
We warrant that we will provide the Service with reasonable skill and care and substantially as described in our documentation.
To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:
- The Service will be uninterrupted, error-free, or free from viruses
- Data retrieved from third-party platforms will be accurate or complete
- AI-generated report content will be accurate or suitable for your purposes
- The Service will meet all of your specific requirements
Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
If you are a consumer in the UK, your statutory rights are not affected by this clause.
13. Indemnification
You agree to indemnify, defend, and hold harmless Aodholdings LTD and its directors, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights, including intellectual property or data protection rights
- Any claim by your clients arising from reports you generate using ReportingFlow
14. Termination
14.1 By You
You may terminate your account at any time by cancelling your subscription and requesting account deletion at support@reportingflow.io.
14.2 By Us
We may suspend or terminate your account immediately if:
- You materially breach these Terms and fail to remedy the breach within 14 days of written notice
- You use the Service in a manner that poses a risk to us, other users, or third parties
- You become insolvent, enter administration, or are subject to winding-up proceedings
- We are required to do so by law
14.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will delete your account data within 90 days of termination, except where retention is required by law. Outstanding fees remain payable.
15. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that:
- If you are a consumer in the EU, you may also bring proceedings in the courts of your country of residence.
- If you are a consumer in the UK, you may be entitled to use alternative dispute resolution schemes.
We encourage you to contact us at support@reportingflow.io in the first instance to resolve any dispute informally before commencing formal proceedings.
16. General
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets, with notice to you.
16.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party platform failures.
16.6 Notices
We may give notices by email to the address associated with your account or by posting a notice within the ReportingFlow platform. You may give notices to us at support@reportingflow.io.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the 'Last Updated' date and notify you by email at least 14 days before material changes take effect. If you do not agree to the updated Terms, you must cancel your subscription before the changes take effect.
Your continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
